USER INFORMATION
Certain types of content are made available through the Site. “User Information” as used in these Terms of Service means, collectively, the information, such as text, data, reports, analyses, investment information and other content, that Members post, upload, submit, provide, or otherwise make available to the Site, including without limitation discussion groups, message boards, profile pages, and personal information. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that you own or have the necessary licenses, rights, consents, and permissions to use, display, and authorize Borealis Global Advisory to use and display your User Submissions. In connection with User Submissions, you agree that you will not submit material that is in violation of U.S. Securities and Exchange Commission rules regarding selective disclosure by issuers of material nonpublic information (“tipping” and insider trading), copyrighted, trademarked, protected by trade secret, or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Borealis Global Advisory all of the license rights. You shall retain all of your ownership rights in your User Submissions. However, by submitting the User Submissions to Borealis Global Advisory, you hereby grant Borealis Global Advisory a worldwide, non-exclusive, fully paid-up, royalty-free, irrevocable, perpetual, sub-licensable, and fully transferable license to use, reproduce, distribute, prepare derivative works of, and display the User Submissions in connection with the Site and Borealis Global Advisory’s business. You grant Borealis Global Advisory the right to use any of your User Submissions to conduct studies and develop forecasts, price forecasts, and reports, which it may display on the Site and use for any other purpose. You also grant Borealis Global Advisory and its affiliates the right to use your User Submissions to make trades. You also hereby grant each User a non-exclusive license to access your User Submissions through the Site and to use, reproduce, distribute, prepare derivative works of, and display such User Submissions as permitted under these Terms of Service. To the extent you do not have ownership rights to any of your User Submissions, you shall indemnify Borealis Global Advisory for any claim regarding Borealis Global Advisory’s use of your User Submissions. You understand that when using the Site, you will be exposed to User Submissions from a variety of sources and that Borealis Global Advisory is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. Borealis Global Advisory and Information Providers retain all proprietary rights in the Content and Marks. OPT OUT PROCEDURE

ABILITY TO ACCEPT
By your use of the Site, you affirm that you are either are at least 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. In any case, you affirm that you are 13 years old or older, as the Site is not intended for children under that age of 13. If you are under 13 years of age, do not use the Site.
ASSIGNMENT
These Terms of Service and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be assigned by Borealis Global Advisory without restriction, including without limitation, in the event that Borealis Global Advisory, LLC., forms a partnership with, is merged with, or is acquired by another company.
TERMS AND TERMINATION
Your permission to access the Site under these Terms of Service will immediately terminate if you fail to comply with any term or condition. Upon such violation, you agree to terminate access to the Site. You agree that Borealis Global Advisory, in its sole discretion and with or without notice, may terminate your access to any or the entire Site, and remove and discard any Content within the Site. Borealis Global Advisory may also in its sole discretion with or without notice discontinue providing the Site. You also agree that Borealis Global Advisory will not be liable to you or any third party for any termination of your access to the Site.
GOVERNING LAW
You agree that Borealis Global Advisory and the Site are solely based in South Carolina, that the Site is a passive website and that the Site does not give rise to personal jurisdiction over Borealis Global Advisory, either specific or general, in jurisdictions other than South Carolina. You agree that these Terms of Service shall be governed and interpreted pursuant to the laws of the State of South Carolina, notwithstanding any principles of conflict of law or your actual state or country of residence. You agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Richland County, South Carolina.
ENTIRE AGREEMENT/SEVERABILITY
These Terms of Service, together with the Privacy Policy and any other legal notices published by Borealis Global Advisory on the Site, shall constitute the entire agreement between you and Borealis Global Advisory concerning the Site. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect.
NO WAIVER
No waiver of any provision of these Terms of Service shall be deemed a further or continuing waiver of such provision or any other provision, and Borealis Global Advisory’s failure to assert any right under these Terms of Service shall not constitute a waiver of such right. YOU AND Borealis Global Advisory AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
MODIFICATIONS
Borealis Global Advisory reserves the right, in its sole discretion, at any time to modify, discontinue or terminate the Site, any portion thereof, or any content thereon without notice, or modify these Terms of Service. We will notify you about significant changes by sending you a notice to the primary email address specified in your account or by placing a prominent notice on the Site. If any modified terms and conditions are not acceptable to you, your sole remedy is to cease using the Site, and if applicable, cancel your Borealis Global Advisory account. By continuing to access or use the Site after Borealis Global Advisory makes any such revision, you agree to be bound by the revised Terms of Service.
